In January 17, Sun Microsystems announced that it had signed an acquisition agreement with MySQL, with a total acquisition amount of about $1 billion. MySQL is a leading open-source enterprise and one of the world's fastest growing open-source database developers.

MySQL has deployed millions of databases around the world, including Facebook, Google, Baidu, and China Mobile. Its business can be well integrated with Sun, so that MySQL open source databases can be applied in more traditional fields and enterprises, and the pattern of the software industry will eventually change. The integration of MySQL and Sun will also greatly improve the influence of MySQL products in the commercial field, and use Sun's global service architecture to enhance its value positioning. MySQL will also expand its distribution through Sun channels, including Sun's OEM relationship with partners such as Intel, IBM, and Dell.

Sun Microsystems CEO and President Jonathan. Jonathan Schwartz said: "The acquisition we announced today will strengthen Sun's core position in the global Internet economy. The acquisition of MySQL will effectively support our overall development plan and strengthen our investment in important technical fields. These important technical needs come from both the Internet media giant and the world's top traditional enterprises, they are driving the efficient growth of express delivery in the global economy."

"The merger of MySQL and Sun is for users and organizations pursuing innovation, growth, and advocating multiple choices, no matter how large or small they are," said Marten Mickos, Chief Executive Officer of MySQL, it is a great opportunity. Sun's culture and business model are highly complementary to MySQL. Since their establishment, we both have the same wish, that is, free software selection, online innovation, community and partner participation. We are very happy to work with Sun and continue to work with millions of members of the MySQL open-source ecosystem to provide the best database and boost the development of the modern Internet economy ."

MySQL open-source database is the "M" in the LAMP architecture (consisting of Linux, Apache, MySQL, and PHP/Perl, which is generally regarded as the Internet basis ". Sun promises to strengthen and optimize the LAMP stack in GNU/Linux, Microsoft Windows, OpenSolaris, and mac OS X. Databases from MySQL, OpenSolaris and GlassFish, plus Sun's Java platform and NetBeans community, will create a powerful Web application platform for customers who transfer applications to the Web.

After the transaction ends, MySQL will be integrated into Sun's software, sales and service organization. MySQL CEO Marten Mickos will join Sun's senior management team. During the transition period, a joint team composed of representatives of the two companies will promote the integration plan from the perspectives of technology, product and culture integration, and best business and product development practices of the two companies. MySQL is headquartered in Cupertino in California and Uppsala in Sweden, with 400 employees in 25 countries.

As part of the transaction, Sun will pay about $0.8 billion in cash to buy all of MySQL's shares and reserve $0.2 billion in options. The deal is expected to be completed later or earlier in the third quarter (first quarter of 2008 natural year) of Sun's 2008 fiscal year. The end time of the transaction depends on the Approval of Regulations and the termination conditions in other practices. This transaction is expected to increase the operating income for fiscal year 2010 based on GAAP (General Accounting Standards.
