The sadness of third-party assessment and software outsourcing

Objective:
As a ITER, is there a similar experience as follows? The company has a hard working heart, or want to save some extra money at hand. So try to pick up software outsourcing, but the outcome is often " meat dumplings beat the dog, forever" such a tragedy.
The process of things, some are hot face stick cold butt, some are the initial interview very happy, imitation if brief encounter, wait until you submit design documents and quotations, a variety of picky and denial ensued.
What is the truth of the matter? Is there a latent trap? This article talks about a possible cause with my recent experience.

Experience:
Fortunately, as a "guest" audience, all the way to observe my classmates and a body of cooperation negotiations. Our software shares, the other side to provide the rest of the resources, the above background.
At the meeting, you come to me, not so lively, the focus of the Parliament, gradually fell to the game of software valuation . The other party does not know the technology, in order to reasonably estimate (also can say the price), did a few third parties assessment. Does it look professional and prudent? But the problem is, in fact, the so-called third-party assessment---is to invite some outsourcing software companies .
In a sense, the outsourcing software company/team was in the dark, made a detailed design books and quotations, in order to be able to win the bid and cooperation, the end result has become cannon fodder, for others to do the wedding clothes. This is what I have experienced, feel the back chill, for the outsourcing industry feel a bit sad.
　　
It's hard to say what's wrong with this, and it's a way to be responsible for the company and get more out of it. It depends on what angle and position you are standing on. Every industry has its own way of survival, which is reasonable.
Nor do I know what a truly reasonable third-party assessment process is. Mainly due to their own experience and vision.
The only thing I find rewarding is when you're struggling with the details of the software, keying in its functional value to raise your price. Why not change your mind to jump out and use operations/planning/services to complement your own value and increase your share ratio. This is also a negotiating idea.
As for some of the professional vocabulary mentioned later, "the same shares different rights", "equity on the bet", as a code farm, I can only say "Oh da."

In fact, in the meeting, I have two students A and B, a responsible for negotiations, B and I like to audit.
