Noah Zhou announces shareholder approval and privatization of rainbow Education Agreement

Beijing time July 28 Morning News, Noah Boat (nyse:ned) announced in Friday, has held a special shareholder meeting on the same day. At the meeting, Noah's boat shareholder voted to approve the merger agreement and plan reached by the company April 2, 2014 with Tianhong Education and its subsidiary Rainbow Education merger Sub LC 2¥Q. Noah's boat announced an amendment to the merger plan on June 9, 2014.

Under the merger and acquisition plan, Rainbow Education merger Sub LC 2¥Q will be merged with Noah's boat, and Noah will be the surviving company after the acquisition.

At the general meeting, shareholders holding about 81.6% common shares voted. Among these shareholders, 98.3% voted to support the merger agreement.

The acquisition also needs to satisfy other conditions, and Noah boat will work with other parties to meet all the conditions of the Merger Agreement and complete the acquisition as soon as possible. After the merger, Noah's boat will become a private company, and Nokia's US depository shares will no longer be traded through the New York Stock Exchange. (D-Gold)
