Intel says the acquisition will consolidate security software and hardware services to greatly enhance the security of individual users, businesses and government devices, servers, and networks. Industry analysts believe the acquisition underscores Intel's growing desire to move into other areas after leading the PC market. Intel announced 19th that it will acquire McAfee, a security software vendor, involving a transaction amount of about USD 7.68 billion. Intel said it would buy all of McAfee's common shares at a price of $48 per share, saying the board had unanimously approved the deal. and Intel's acquisition price has a 60% premium over the closing price of the previous session. Intel's shares fell 2.86% to 19.03 U.S. dollars in early local time, while McAfee surged 57.9% to 47.26 dollars. Intel's takeover was a surprise to many analysts, as it was a tie-up between a chipmaker and a software company. But the move underscores the determination of intel to continue to expand into popular markets outside PCs such as mobile devices and smartphones, analysts said. And analysts further point out that, for the moment, the biggest benefit of the deal may be that Intel can sell McAfee software to PC customers, as Intel already occupies about 80% per cent of the PC microprocessor market. In Intel's own words, "the company identified the combination of two companies as a strong competitive force in a high level computer security market," Reneejames, director of Intel's software and services team, said in a media interview. Intel executives say the acquisition "will enhance the safety of all products using Intel's chips while focusing on energy efficiency and internet connectivity," especially in the mobile wireless sector. Intel also said that the company's current security services are not enough to cover mobile phones, televisions, ATM and other network-connected devices security risks. The acquisition will consolidate security software and hardware services to greatly enhance the security of individual users, businesses and government devices, servers, and networks. FBR Capital analyst Ives Danielives also said that Intel's deal with McAfee "dramatically changes the pattern of security software while witnessing the convergence of countless technologies in the corporate environment." "The first year after the merger has no timetable for profit or decrease" it is clear that investors will not like the acquisition plan at present, especially in the case of such a high premium, "Wedbush Securities analyst Patrickwang said," but from a strategic perspective, I think it is meaningful. On viruses and spyware, for computer users, security is increasinglyImportant consideration. "Intel's advisers on the deal are Goldman Sachs, and McAfee's advisers are Morgan Stanley." Intel says McAfee will continue to operate as a wholly owned subsidiary after the acquisition is completed and report directly to Intel's software and services department. But Intel did not give a clear timetable for the acquisition. Intel expects the impact to be slightly reduced in the first year after the merger. Intel has a history of acquiring software companies, including a 884 million-dollar takeover of Wind Riversystems and 110 million dollars for the acquisition of Havok, an Irish software firm (Havok). The acquisition will slightly dilute Intel's earnings in the first year, flat for the second year. Excluding transaction completion of the write-off of arrears of income and the amortization of intangible assets after acquisition, Intel said that the adjusted acquisition plan would make the first year's income slightly higher and improved. It is also noteworthy that Intel's acquisition of McAfee was the latest in a recent spate of mergers and acquisitions in the technology industry, and earlier this week Dell computers had just announced a $1.3 billion acquisition of data storage company 3PAR.
